Dear BLUE HAWK Community,
I am writing to update you on the planned merger of IMARK Electrical and Affiliated Distributors’ U.S. Electrical Division and its implications for BLUE HAWK. I am pleased to inform you that this merger will not impact our operations, programs, or services. As a member-owned cooperative, we have ensured complete independence from IMARK Electrical, maintaining full financial transparency and autonomy. Consequently, IMARK Electrical will no longer be affiliated with BLUE HAWK or our federation of cooperatives.
Our commitment to the success of independent HVACR distributors, core co-op principles, and governance model remains steadfast. We will continue issuing monthly rebate payments and returning 100% of net income to our independent HVACR members. Additionally, our audited annual financial statements, which disclose all revenue and operational expenses, will remain available to all BLUE HAWK members (shareholders).
Reflecting on the journey since our founding 19 years ago, we are reminded of the resilience and dedication that define our cooperative community. Your loyal commitment to mutual success amidst extraordinary challenges has been genuinely inspiring. Your ongoing support has contributed to BLUE HAWK’s market-leading position in the HVACR and co-op industries, for which we are immensely grateful.
Looking ahead, we are excited about our innovative initiatives beyond rebate programs, explicitly developed to nurture your business growth and enhance the development of your employees. The Dashboard is a Minimum Standard of Success
The BLUE HAWK Board of Directors has approved a new Strategic Plan* that includes a set of Minimum Standards for our Members for the next three years. This strategic plan will help drive our cooperative to excellence and increase the success of our Members.
Starting this year, Members are expected to:
1. Meet minimum total rebate goals.
OR
2. Meet minimum standards of participation:

- Participate in at least two of the following:

SUSTAINING REVENUE
Sales Growth slowed to a median of 1.1% in the first quarter of 2024, continuing the generally flat trend of the last four quarters (median of 2.0%). However, this relatively slow growth is on top of the monster growth years of 2021 and 2022, where median sales growth was closer to 20%. So, another way to look at this is that BLUE HAWK members are sustaining significantly higher revenue levels.
Further, BLUE HAWK members continue to outpace their publicly traded peers. Watsco reported 1% sales growth in the first quarter, which was propped up by acquisitions. Same-store sales declined by -2%. Similarly, Ferguson reported “organic” sales declines of -0.9%.
It’s important to note that not all BLUE HAWK members were flat in Q1. The Top Performers (a quarter of Benchmark BLUE participants) grew by nearly 10%.
As we jump headfirst into summer, sustaining and growing revenue will undoubtedly be top of mind. This is especially true considering high Days Inventory on Hand at the end of Q1: 153 days (median). Wishing you all the best as you clear out those warehouses!

THE 2024 BLUE HAWK GIVES BACK PROJECT WAS A BIG ONE
This year’s Gives Back volunteers worked with Brothers Redevelopment, Inc. to paint a house and clean up a yard for a Denver homeowner in need through their Paint-A-Thon Project.
This program has become one of Colorado’s largest volunteer events serving the disabled and older adults. Created in 1978, the Paint-A-Thon is a free service for homeowners who need their homes painted but cannot afford a commercial paint job.
It took our amazing crew of voluneers, plus a few more throughout the month of May to finish this house — but we did it. And the results are just too good not to share!

DITSCH WINS 2024 H.E. KLEINFELTER AWARD
BLUE HAWK Vice President of Marketing and Communications, Teri Ditsch, has been named the 2024 H.E. Kleinfelter Award winner by the Cooperative Communicators Association (CCA). Ditsch received the award during CCA’s annual institute in Des Moines, Iowa, on June 4. The award is presented annually to a cooperative communicator whose work is considered to be outstanding by their peers and has dedicated significant time and talent to their co-op, industry, and to CCA throughout their career.
Recognizing Ditsch for bringing a perfect balance of professionalism, creativity, drive and wit to every project or event she’s involved with, BLUE HAWK Marketing Manager Nickie Sabo says, “While I’ve known Teri as a great leader and mentor through CCA for years, it was joining the BLUE HAWK team that revealed to me her profound impact on the cooperative and HVAC industry as a whole.”

REBATE STATEMENTS & DIVIDEND PAYMENTS
The April 2024 Member Rebate Statements have been posted to the Online Community. The April (M04) Member Statement includes Guaranteed Rebates, Prior Year (PY) Adjustments, and PrimeTime Promotion rebates reported in April.
Only Members set up for Automated Clearing House (ACH) will receive monthly patronage dividends. If your company is set up for ACH payments, a payment corresponding to the M04 Member Statement will be deposited into your bank account.
To support our Members’ cash flow, we have requested our Vendor Partners pay rebates monthly instead of quarterly. We are pleased to report that roughly 50% of our Vendor Partners have committed to monthly reporting and payments, up from 24% last year.
To receive patronage dividends monthly, members must sign up for Automated Clearing House (ACH) payments. If you’d like to make the transition, contact Laura Spielman and she will assist with the sign-up process.
